Terms of Service

1. Acceptance

Use of the Platform constitutes your acceptance of these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

2. Accounts & Eligibility

• You must be able to form a binding contract and comply with applicable laws.
• Provide accurate, current information and keep it updated.
• You are responsible for all activity on your account and for safeguarding your credentials.

3. Permitted Use & Prohibitions

You agree not to:

• Use the Platform for unlawful, deceptive, harmful, or abusive purposes.
• Upload or share content that is vulgar, pornographic, hateful, harassing, violent, discriminatory, or otherwise objectionable.
• Reverse engineer, scrape, or attempt to bypass security or access controls.
• Misrepresent affiliation with CiphLy or use our marks without written permission.

4. Intellectual Property & Patent Rights

The Platform, including all software, code, features, designs, text, graphics, logos, and layouts, is owned by N.C.V. Inc. or its licensors and is protected by copyright, trademark, and other laws. All rights are reserved.

Patented UI/UX & Sponsored Bio Link Concept

CiphLy incorporates a patented UI/UX concept that uniquely integrates sponsor branding within user bio link pages, including (without limitation):

• Sponsor-selected page backgrounds and theme elements;
• Display of sponsor logos with “Sponsored by” labeling in any page position (e.g., top‑right, top‑left, bottom‑left, bottom‑right, center, overlays);
• Sponsor tagline and social media links placed anywhere on the page;
• Alternative/variant layouts, placements, and arrangements covering the above.

Patent Number: [Insert Patent Number]. Any reproduction, imitation, adaptation, or circumvention is strictly prohibited and constitutes patent infringement. We reserve all rights and remedies, including injunctive relief and damages.

5. User Content & License

You retain ownership of content you upload or provide. You grant CiphLy a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, display, and distribute your content solely to operate and improve the Platform and provide features you request (e.g., your bio page, analytics, sponsored layouts).

You represent and warrant that you have all rights necessary for any content you submit and that your content does not violate these Terms or third‑party rights.

6. Content Removal & Enforcement

• We may remove or restrict content at our sole discretion if it violates these Terms or applicable law, or we deem it objectionable.
• We may suspend or terminate accounts for violations or risk to users, the Platform, or our IP (including attempts to replicate the patented UI/UX).
• We may refuse service to entities acting to copy, compete unfairly, or infringe our rights.

7. Sponsored/Branded Experiences

Where brands distribute keychains or otherwise sponsor bio links, the sponsor may select backgrounds, provide taglines and social links, and display a sponsor logo with “Sponsored by” in any specified position consistent with our patented layouts. CiphLy may share aggregated or page‑level analytics with the sponsor in accordance with the Privacy Policy.

8. Fees & Purchases

Some features may be paid. Prices and terms may change. Taxes may apply. Except as required by law, payments are non‑refundable.

9. Disclaimers

The Platform is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non‑infringement. We do not warrant uninterrupted, secure, or error‑free operation.

10. Limitation of Liability

To the maximum extent permitted by law, CiphLy and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the Platform, even if advised of the possibility of such damages. Our aggregate liability for any claim will not exceed the greater of (a) the amounts you paid to us in the 6 months before the claim, or (b) USD $100.

11. Indemnification

You will defend, indemnify, and hold harmless CiphLy and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the Platform, or your breach of these Terms or applicable law.

12. Changes to the Service/Terms

We may modify the Platform or these Terms at any time. Material changes will be posted here. Your continued use after changes means you accept the updated Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of Ontario, Canada, without regard to conflicts of law. Courts located in Ontario will have exclusive jurisdiction (except we may seek injunctive relief in any jurisdiction to protect IP/patent rights).
